These Terms & Conditions (the “Terms”) form a binding agreement between you and Ooln, Inc. (“Ooln,” “we,” “us,” or “our”), a Delaware corporation. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Agreement and scope

These Terms apply to wendy.trade and related pages (the “Website”), Wendy’s hosted market-analysis tools and Model Context Protocol service (“Wendy MCP”), and Wendy Workbench when it is made available (together, the “Services”). Additional order, brokerage, subscription, enterprise, API, or beta terms presented to you also apply. If those additional terms conflict with these Terms, the more specific terms control for that feature.

The Services are intended for use in connection with self-directed market research and trading. Availability, instruments, market coverage, and features vary by product, provider, account permissions, and jurisdiction.

2. The Services

Website

The Website provides product information, historical demonstrations, selected synthetic examples, a Workbench preview, and optional signup forms. It does not connect to a brokerage account or submit orders.

Wendy MCP

Wendy MCP provides deterministic market-analysis tools for use by authorized AI agents and other approved clients. The tools may calculate market regime, technical indicators, support and resistance, price action, expected range, gamma exposure, and option-strike comparisons. Wendy MCP does not execute trades and does not use a large language model in its production calculation path.

Wendy Workbench

Workbench is being developed to help users research, plan, execute, manage, and review trades in one workspace. When enabled, it may connect to supported brokerages, display account and position context, prepare order previews, and transmit an order after the user’s explicit review and confirmation. Ooln does not take custody of funds and does not have discretionary authority over a brokerage account.

3. Preview and availability

Wendy MCP signup and hosted access are currently available. Workbench remains in development, and Workbench previews show intended product direction; they are not a promise that a feature, brokerage integration, instrument, launch date, or level of service will become available.

We may add, modify, suspend, limit, or discontinue a Service or feature. Beta and preview features may be incomplete, contain errors, change without notice, or be unavailable. Do not rely on them for time-sensitive or live trading decisions.

4. No investment advice; risk of loss

Important: Ooln is not a broker-dealer, investment adviser, fiduciary, exchange, or custodian. The Services do not provide personalized investment, legal, tax, or accounting advice or a recommendation to buy, sell, or hold any security or other asset.

Market analysis, calculations, AI responses, research, alerts, demonstrations, and order-planning tools are informational and educational. You are solely responsible for deciding whether and how to trade, verifying all information, conducting independent research, and consulting qualified professionals where appropriate.

Trading involves substantial risk. You may lose some or all invested capital. Options can expire worthless; leverage, short positions, volatility, illiquidity, and digital assets can magnify losses; and past performance does not indicate future results. Do not trade funds you cannot afford to lose.

5. Broker connections and orders

If you connect a brokerage account, you authorize Ooln and its brokerage connectivity providers to access the account information and perform the actions you request, subject to your broker’s terms, permissions, and supported capabilities.

  • Workbench may prepare an order or order preview, but nothing may be transmitted without the explicit confirmation required by the product flow.
  • You must review the instrument, symbol, side, quantity, order type, price, time in force, estimated impact, and account before confirming.
  • Your broker—not Ooln—accepts, rejects, routes, fills, partially fills, cancels, or otherwise handles an order. Displayed status may be delayed or incomplete.
  • You are responsible for brokerage agreements, account restrictions, buying power, margin, fees, taxes, settlement, and regulatory obligations.
  • Disconnecting a broker or closing Workbench does not cancel an open order. Confirm status directly with your broker.

Never assume that an order was submitted, canceled, or filled based only on an AI response or interface message. Verify the order and position with the broker.

6. AI, calculations, and market data

AI-generated content may be inaccurate, incomplete, inconsistent, or outdated. It may misunderstand a request, omit relevant facts, or produce an unsupported conclusion. Deterministic calculations can also be wrong because of bad inputs, stale or unavailable market data, software defects, assumptions, methodology, or differences among data providers.

Market data may be delayed, adjusted, corrected, unavailable, or subject to licensing limits. Outputs may change when inputs, observation time, session, provider data, methodology, or product version changes. “Deterministic” means the same defined method is applied to the same inputs and data state; it does not mean the output is accurate, complete, current, or predictive.

You must independently validate outputs before relying on them or allowing an AI agent or automated system to act on them. Ooln does not guarantee accuracy, availability, market outcomes, execution quality, or improved performance.

7. Eligibility and accounts

You must be at least 18 years old, have legal capacity to enter this agreement, and be permitted to use the Services where you live. You are responsible for complying with securities, commodities, sanctions, export-control, and other applicable laws.

When an account is required, provide accurate information, keep credentials secure, use only accounts you are authorized to use, and notify us promptly of suspected unauthorized access. You are responsible for activity conducted through your account, API credentials, connected clients, and authorized agents.

8. Acceptable use

You may use the Services for authorized personal or business purposes under your applicable plan or agreement. You may not:

  • Break the law, violate another person’s rights, manipulate markets, or facilitate fraud or abusive trading.
  • Probe, attack, overload, disrupt, or bypass authentication, authorization, rate limits, safety controls, or technical restrictions.
  • Access another user’s data or brokerage account, share credentials improperly, or misrepresent your identity or authority.
  • Reverse engineer or extract non-public source code, models, prompts, methods, or datasets except where applicable law expressly permits it.
  • Scrape, copy, resell, sublicense, or commercially exploit the Services or outputs except as expressly authorized in writing.
  • Use output as a substitute for legally required professional judgment or present Wendy as a licensed financial professional.

9. MCP and agent access

Wendy MCP may be used only through an approved client and authentication method. Keep API keys, OAuth tokens, and other credentials confidential. You are responsible for requests made with your credentials and for configuring your AI agent, permissions, limits, review steps, and downstream actions safely.

Do not give an agent authority beyond what you intend. An agent’s interpretation or use of Wendy output is separate from Wendy’s calculation. External agent platforms may retain prompts and outputs under their own terms. We may enforce quotas, rotate credentials, reject unsupported requests, and suspend access to protect the Services.

10. Privacy

Our Privacy Policy explains how we handle information across the Website, Wendy MCP, and Workbench. By using the Services, you acknowledge that policy. If you connect a brokerage or external AI agent, the third party’s privacy terms also apply to its processing.

11. Fees

Wendy MCP currently includes a 7-day trial. A payment card is required. Trial use is limited to 50 calls per day and 200 calls total. Unless you cancel before the trial ends, the subscription renews at US$10 per month until canceled. Usage limits apply to paid access and may be described at checkout, in product documentation, or in your account.

You authorize the applicable payment provider to charge the payment method you select for recurring fees, applicable taxes, and other amounts disclosed before purchase. Cancellation timing, refund rights, and any plan-specific terms presented at signup also apply.

12. Intellectual property and feedback

The Services—including software, designs, text, trademarks, calculations, documentation, and non-public methods—are owned by Ooln or its licensors and protected by law. Subject to these Terms, Ooln grants you a limited, revocable, non-exclusive, non-transferable right to use the Services as intended.

You retain ownership of content you submit. You grant Ooln the rights reasonably necessary to host, process, transmit, and display that content to provide and improve the Services. If you provide feedback, you allow Ooln to use it without restriction or compensation, but this does not permit us to publicly identify you without permission.

13. Third-party services

The Services may rely on or link to brokers, market-data providers, AI and research providers, authentication services, payment processors, and external agent platforms. Those services are governed by their own terms and may change or fail independently. Ooln is not responsible for third-party services, data, execution, outages, fees, or decisions.

14. Changes and termination

We may update these Terms by posting a revised version and changing the “Last updated” date. We will provide additional notice when required. Continued use after the effective date of revised Terms means you accept them.

You may stop using the Services at any time. Ooln may limit, suspend, or terminate access if you violate these Terms, create legal or security risk, fail to pay applicable fees, or if a Service is discontinued. Terms that by their nature should survive—including intellectual property, disclaimers, liability limits, indemnity, and dispute terms—remain in effect.

15. Disclaimers, liability, and indemnity

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” OOLN DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

To the fullest extent permitted by law, Ooln and its officers, employees, affiliates, and providers will not be liable for trading losses; loss of data, profits, revenue, or opportunity; reliance on AI, calculations, market data, or third-party services; failed, delayed, duplicate, or unintended orders; or indirect, incidental, special, consequential, exemplary, or punitive damages.

To the fullest extent permitted by law, Ooln’s aggregate liability arising out of the Services will not exceed the greater of US$100 or the amount you paid Ooln for the applicable Service during the six months before the event giving rise to the claim. Some jurisdictions do not allow certain exclusions, so some of these limits may not apply to you.

You agree to indemnify and hold harmless Ooln and its affiliates, officers, employees, and providers from third-party claims arising from your unlawful or unauthorized use of the Services, your trading or agent configuration, your violation of these Terms, or your infringement of another person’s rights.

16. Governing law, disputes, and contact

These Terms are governed by Delaware law, without regard to conflict-of-law rules. Disputes will be resolved through binding arbitration on an individual basis, except where applicable law requires otherwise. Nothing in these Terms prevents either party from seeking relief that cannot lawfully be waived.
